Terms of Sale & Purchase Order Conditions

These Terms of Sale and Purchase Order Conditions ("Terms") govern all sales of products and services by Anchored Adhesives ("Seller") to the purchasing party ("Buyer"). By placing an order, Buyer agrees to these Terms.

1. Orders & Acceptance

All orders are subject to acceptance by Seller. Seller reserves the right to decline any order at its discretion. An order is accepted only upon Seller's written confirmation or shipment of goods.

2. Pricing & Payment

Prices are as quoted or as stated in Seller's current price list and are subject to change without notice. Payment terms are net 30 days from invoice date unless otherwise agreed in writing. Past-due balances are subject to a monthly service charge of 1.5% (18% per annum).

3. Shipping & Delivery

Unless otherwise agreed, all shipments are FOB Seller's facility. Risk of loss passes to Buyer upon delivery to the carrier. Delivery dates are estimates only and Seller is not liable for delays.

4. Inspection & Returns

Buyer must inspect goods within 10 business days of receipt and notify Seller in writing of any defects or shortages. No returns will be accepted without prior written authorization from Seller. Authorized returns are subject to a restocking fee.

5. Limited Warranty

Seller warrants that products will conform to Seller's published specifications at the time of shipment. This warranty does not cover damage caused by misuse, improper storage, or application outside Seller's written recommendations. SELLER MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

6. Limitation of Liability

Seller's liability under any claim shall not exceed the purchase price of the product giving rise to the claim. In no event shall Seller be liable for indirect, incidental, special, or consequential damages.

7. Purchase Order Terms

Any purchase order terms submitted by Buyer that conflict with or are in addition to these Terms are hereby objected to and shall not be binding on Seller unless expressly accepted in writing. These Terms shall control in all cases.

8. Governing Law

These Terms are governed by the laws of the state in which Anchored Adhesives is incorporated. Any disputes shall be resolved in the courts of that jurisdiction.
